This Merchant Agreement is between you (the "Merchant") and MoveThrough Ltd., the company behind Mossy. By using Mossy to run a storefront, process payments, or manage customer relationships, you agree to the terms below. If you don’t agree, you shouldn’t use Mossy.

1. Introduction

Welcome to Mossy, a project by MoveThrough Ltd. These Terms of Service ("Terms") govern your access to and use of the Mossy platform, including our website, services, and applications (collectively, the "Services"). By using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

Mossy provides an e-commerce platform that allows merchants to create and manage online stores to sell their products and services (the "Platform").

2. Account Registration

2.1 Account Creation

To access certain features of our Services, you must create an account. When you create an account, you must provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account and use our Services. By creating an account, you represent and warrant that you meet these eligibility requirements.

2.3 Account Security

You agree to notify us immediately of any unauthorized access to or use of your account. We cannot and will not be liable for any loss or damage arising from your failure to maintain the security of your account.

3. Using Our Services

3.1 Store Creation and Management

Our Services allow you to create and manage an online store through which you can sell products or services. You are responsible for all content you upload to your store, including product descriptions, images, and pricing information.

3.2 Prohibited Activities

When using our Services, you agree not to:

  • Violate any applicable law, regulation, or third-party rights
  • Use our Services to sell illegal products or services
  • Post false, misleading, or deceptive content
  • Upload malicious code or attempt to interfere with the proper functioning of our Services
  • Collect or harvest user data without consent
  • Use our Services to send unsolicited communications
  • Attempt to access or use another user's account without authorization
  • Use our Services in any manner that could disable, overburden, damage, or impair the Services

3.3 Content Guidelines

All content you upload to your store must comply with our content guidelines. We reserve the right to remove any content that, in our sole discretion, violates these Terms or our content guidelines.

4. Fees and Payments

4.1 Service Fees

We charge fees for the use of certain aspects of our Services. Our fee structure is available on our website and may be updated from time to time. We reserve the right to change our fees upon notice to you.

4.2 Payment Processing

Payment processing services for sellers on Mossy are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to [this agreement / these terms / and so on] or continuing to operate as a seller on Mossy, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Mossy enabling payment processing services through Stripe, you agree to provide Mossy accurate and complete information about you and your business, and you authorise Mossy to share it and transaction information related to your use of the payment processing services provided by Stripe.

4.3 Taxes

You are responsible for calculating, collecting, reporting, and remitting any applicable taxes in connection with your store and sales.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Services and all content and materials included on or within the Services, including, but not limited to, text, graphics, logos, images, and software, are the property of MoveThrough Ltd or our licensors and are protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain all rights to the content you upload to your store. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing our Services.

5.3 Feedback

Any feedback, suggestions, ideas, or other information you provide to us regarding our Services may be used by us without restriction and without compensation to you.

6. Privacy

Our Privacy Policy describes how we collect, use, and share information in connection with your use of our Services. By using our Services, you agree to our collection, use, and sharing of information as described in our Privacy Policy.

7. Term and Termination

7.1 Term

These Terms will remain in effect until terminated by either you or us.

7.2 Termination by You

You may terminate these Terms at any time by closing your account and discontinuing use of our Services.

7.3 Termination by Us

We may terminate or suspend your access to and use of the Services, at our sole discretion, at any time and without notice to you, including if:

  • You breach any provision of these Terms
  • You use the Services in a manner that creates risk or potential legal exposure for us
  • We are required to do so by law
  • We decide to discontinue the Services

7.4 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive termination.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

IN NO EVENT WILL MOVETHROUGH LTD, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold harmless MoveThrough Ltd, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

11. Modifications to the Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website. Your continued use of the Services after such notification constitutes your acceptance of the modified Terms.

12. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the United Kingdom, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the courts of the United Kingdom.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim against MoveThrough Ltd, you agree to try to resolve the dispute informally by contacting us. If a dispute is not resolved within 30 days of submission, you or MoveThrough Ltd may bring a formal proceeding.

13.2 Arbitration

If you and MoveThrough Ltd don't resolve the dispute informally, you and MoveThrough Ltd agree to resolve any claims related to these Terms or our Services through final and binding arbitration, except as set forth under Exceptions to Agreement to Arbitrate below.

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and MoveThrough Ltd regarding your use of the Services.

14.2 Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

14.3 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

14.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.

15. Additional Terms for Merchants

15.1 Store Content and Products

As a merchant, you are solely responsible for your store's content and the products or services you sell. You represent and warrant that your products and services comply with all applicable laws and regulations.

15.2 Customer Service

You are responsible for providing customer service to your customers and resolving any disputes that may arise.

15.3 Fulfillment

You are responsible for fulfilling all orders placed through your store and ensuring that products are delivered as described.

16. Platform Modifications and Availability

We reserve the right to modify, suspend, or discontinue the Services at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.


By using Mossy, you acknowledge that you have read these Terms, understand them, and agree to be bound by them.
